Terms & Conditions

1. Introduction

These Terms & Conditions ("Terms") govern the freelance services provided by Rush ("I", "me", "my") to clients ("you", "your") who engage my services through this website or by direct agreement. By submitting a project enquiry, signing a proposal, or making any payment, you confirm that you have read, understood, and agreed to these Terms.

2. Services

I provide freelance software development services including but not limited to web application development, mobile application development, backend and API development, cloud infrastructure setup, and AI integration. The specific scope of work for each engagement is defined in a written project proposal agreed upon by both parties before work begins.

Any work outside the agreed scope will be discussed and quoted separately before proceeding. I reserve the right to decline any project or request at my discretion.

3. Project Proposals & Agreements

All projects begin with a written proposal outlining the scope, deliverables, timeline, and cost. Work commences only after the proposal is accepted in writing (email confirmation is sufficient) and the initial deposit is received.

Proposals are valid for 14 days from the date of issue. After this period, pricing and timelines may be subject to change.

4. Payment Terms

Unless otherwise agreed in writing, payment is structured as follows:

  • 50% deposit required before work begins
  • 50% final payment due upon project completion before final deliverables are handed over

For larger projects, milestone-based payment schedules may be agreed upon. All invoices are due within 7 days of issue. Late payments beyond 14 days may incur a 2% monthly fee on the outstanding balance.

Payments are accepted via bank transfer, PayPal, or other methods agreed upon at the time of engagement.

5. Revisions & Scope Changes

Each project includes a reasonable number of revisions as defined in the proposal. Revisions are understood as refinements within the agreed scope — not new features or significant changes to direction.

Requests that fall outside the original scope will be assessed and quoted as additional work. I will always notify you before undertaking out-of-scope work that incurs additional cost.

6. Intellectual Property & Ownership

Upon receipt of full payment, you receive full ownership of all custom code, designs, and deliverables produced specifically for your project. I retain the right to display the project in my portfolio unless a confidentiality agreement is in place.

Any third-party libraries, frameworks, or tools used in the project remain subject to their respective open-source or commercial licences. Ownership of these is not transferred.

Until full payment is received, all work remains my intellectual property.

7. Confidentiality

I treat all client information, business details, and project specifics as confidential. I will not share your information with third parties without your consent, except where required by law.

If your project requires a formal Non-Disclosure Agreement (NDA), I am happy to sign one before the discovery call. Please request this before sharing any sensitive information.

8. Client Responsibilities

To ensure smooth project delivery, you agree to:

  • Provide necessary content, assets, and access credentials in a timely manner
  • Review and provide feedback within agreed timeframes
  • Ensure all content provided does not infringe any third-party rights
  • Designate a single point of contact for project communication

Delays caused by late feedback or missing assets may affect the project timeline and are not my responsibility.

9. Project Timeline

Estimated timelines are provided in good faith based on the agreed scope. Timelines may be affected by factors outside my control including client delays, third-party service issues, or significant scope changes.

I will communicate any anticipated delays as early as possible and work to minimise their impact.

10. Cancellation & Termination

Either party may terminate the project with 14 days written notice. In the event of termination:

  • Work completed up to the termination date will be invoiced at the agreed hourly or milestone rate
  • The initial deposit is non-refundable
  • Any completed work will be handed over upon receipt of payment for work done

If I terminate the project due to a breach of these Terms by you, no refund of the deposit will be issued.

11. Warranties & Liability

I warrant that all work will be completed to a professional standard using reasonable skill and care. I do not warrant that the software will be entirely error-free, as all software may contain bugs that are discovered after delivery.

Post-launch support for bug fixes directly related to the delivered scope is included for 30 days. Beyond this period, ongoing support is available under a separate retainer agreement.

My total liability in connection with any project shall not exceed the total fees paid for that project. I am not liable for indirect, consequential, or loss-of-profit damages.

12. Governing Law

These Terms are governed by applicable law. Any disputes arising from these Terms or any project engagement will be resolved through good-faith negotiation in the first instance. If resolution cannot be reached, disputes will be subject to the jurisdiction of the appropriate courts.

13. Changes to These Terms

I reserve the right to update these Terms at any time. The version in effect at the time of your project proposal governs that engagement. The latest version is always available on this page.
