Welcome to Inpured. By accessing this website (www.inpured.com) or engaging our services, you agree to the following Terms and Conditions.
1. Nature of Business
Inpured is a freelance brand operated by an independent service provider based in Mumbai, India.
Inpured operates as an independent contractor and is not a registered company or legal entity.
2. Scope of Services
Inpured provides services including but not limited to:
- Software development
- Mobile application development
- UI/UX design
- Technical consulting
All services are provided on a project basis and defined through written communication such as email, proposals, or agreements.
3. Engagement & Agreement
- Each project is treated as a separate engagement.
- Scope, deliverables, timelines, and cost are finalized prior to project initiation.
- Email confirmation shall be considered a valid form of agreement.
- In case of any conflict, the specific project agreement shall prevail over these Terms.
4. Communication Policy
- Official communication shall be considered valid only through email.
- Messages via WhatsApp, chat platforms, or calls are for convenience only and shall not be legally binding unless confirmed via email.
5. Payment Terms
Payments may be made via UPI, bank transfer, Stripe, Razorpay, or other mutually agreed methods. Payment structure (advance, milestones, or full payment) will be defined per project.
Important Conditions:
- Work will not commence without initial payment.
- Payments once made are non-refundable after project initiation (subject to Section 6).
- Final deliverables, source code, and access credentials will not be provided until full payment is completed.
Late Payment:
- Delayed payments may result in project suspension.
- Inpured reserves the right to withhold delivery or terminate the project in case of non-payment.
6. Refund Policy
Refunds are strictly limited and will only be considered if:
- Inpured fails to deliver the agreed scope of work, AND
- The client has fulfilled all required responsibilities.
No refunds shall be provided for:
- Change of mind
- Scope changes after project initiation
- Delays caused by the client
- Work already completed
- Project abandonment
7. Client Responsibilities
The client agrees to:
- Provide clear and complete requirements
- Share necessary content, data, and access credentials on time
- Provide timely feedback and approvals
- Ensure that their project complies with applicable laws
Inpured shall not be responsible for delays or issues arising from incomplete or delayed client input.
8. Scope of Work & Change Requests
All projects are executed strictly based on the mutually agreed Scope of Work (SOW) finalized prior to project initiation. The Scope of Work forms the basis for cost, timeline, and deliverables.
Scope Finalization: Once finalized and the project has commenced, all work will be delivered strictly within the agreed scope.
Change Requests: Any request outside the agreed Scope of Work shall be treated as a Change Request. This includes:
- New features or functionalities
- Modifications affecting system architecture
- Changes in integrations or dependencies
- Alterations in workflows or business logic
Minor Adjustments: Minor changes involving minimal effort may be accommodated at the discretion of Inpured.
Major Changes: Any change affecting complexity, architecture, dependencies, or core functionality will be treated as a new requirement, require revised cost and timeline, and be executed only after approval.
Timeline Impact: Approved changes may affect delivery timelines. Inpured shall not be responsible for delays caused due to such changes.
9. Project Timeline & Delays
- Timelines are estimates based on the agreed scope.
- Delays caused by client-side factors or third-party services may impact delivery.
- Inpured shall not be liable for delays outside its control.
10. Intellectual Property Rights
Ownership of deliverables transfers only after full and final payment. Until then, all work remains the property of Inpured.
Restrictions:
- Unauthorized use of unpaid work is prohibited.
- Usage rights may be revoked in case of payment default.
Inpured reserves the right to showcase completed work in its portfolio unless restricted by agreement.
11. Support & Maintenance
A 3-month support period is provided after project delivery.
Includes:
- Bug fixes
- Error corrections
Excludes:
- New features
- Enhancements
- Third-party issues
Additional support or maintenance may be provided under a separate agreement.
12. Third-Party Services
Projects may include third-party tools, APIs, or services. Inpured is not responsible for third-party failures or downtime, pricing or policy changes, or external service limitations.
13. Independent Contractor Status
Inpured operates as an independent contractor. Nothing in this agreement shall be interpreted as a partnership, employment relationship, or joint venture.
14. Subcontracting
Inpured reserves the right to utilize internal resources or external professionals for project execution while remaining responsible for final deliverables.
15. Prohibited & High-Risk Projects
Inpured does not engage in illegal activities, adult content, or unauthorized scraping or unethical automation.
For industries such as cryptocurrency or gambling, services may be provided only if legally permitted in the client's jurisdiction. The client bears full responsibility for compliance.
Inpured shall not be liable for misuse or unlawful deployment of delivered solutions.
16. Indemnification
The client agrees to indemnify and hold Inpured harmless from any claims, damages, or legal actions arising from the client's business operations, use or misuse of delivered solutions, or violation of laws or third-party rights.
17. Limitation of Liability
Inpured shall not be liable for indirect or consequential damages, or loss of profits, business, or data. Total liability shall not exceed the amount paid for the specific project.
18. Termination
Inpured reserves the right to suspend or terminate services if payment obligations are not met, Terms are violated, or the project poses legal or ethical risks.
19. Confidentiality & NDA
Inpured respects confidentiality and is open to signing Non-Disclosure Agreements upon request.
20. Governing Law & Jurisdiction
These Terms shall be governed by the laws of India. All disputes shall be subject to the jurisdiction of courts located in Mumbai, Maharashtra, India.
